5.1. Company IP. The Platform, all Software Products, and all underlying technology, including but not limited to source code, algorithms, agent architectures, agent templates (including system prompts, skills, and configuration files), orchestration logic, frameworks, tools, automations, user interfaces, designs, documentation, and the Rhomdroid brand, are the exclusive property of the Company (or its licensors) and are protected by intellectual property laws. Nothing in these Terms transfers any ownership of Company IP to the User. Agent templates and system prompts are maintained exclusively on the Company's servers and are not disclosed to Users.

5.2. User Content. The User retains ownership of User Content. By submitting User Content to the Platform, the User grants the Company a limited, non-exclusive, worldwide license to process, store, and transmit User Content solely for the purpose of providing the Platform and Software Products to the User. This license terminates when the User deletes the User Content or when the User's Account is terminated, subject to reasonable backup and deletion timelines.

5.3. AI Output Ownership. AI Output generated through the Platform is provided to the User for use in accordance with these Terms. The User acknowledges that:

5.4. Feedback. If the User provides suggestions, ideas, or feedback regarding the Platform or Software Products, the Company may use such feedback without restriction or obligation to the User.

6. AI Services Disclaimer

6.1. No Accuracy Warranty. AI Output is generated by artificial intelligence systems and is provided strictly "as-is," without any warranty of accuracy, completeness, reliability, currentness, or fitness for a particular purpose. AI Output may contain errors, omissions, inaccuracies, biases, or fabricated information.

The Company strongly recommends that AI Output be reviewed by qualified personnel appropriate to the subject matter before any decision or action is taken based on it.

6.3. No Professional Advice. AI Output does not constitute professional advice of any kind, including but not limited to legal, financial, medical, tax, or engineering advice. Users requiring professional advice should consult qualified professionals.

6.4. User Responsibility. The User assumes full responsibility for any decisions, actions, or consequences arising from the use of AI Output. The Company shall not be liable for any loss, damage, or harm resulting from the User's reliance on AI Output.

6.5. AI Disclosure. The User acknowledges that content generated through the Platform may be produced in whole or in part by artificial intelligence. In jurisdictions where disclosure of AI-generated content is required by law, the User is responsible for making appropriate disclosures when distributing or publishing AI Output.

6.6. Third-Party AI Providers. AI Services may be delivered through third-party AI model providers, including OpenAI, Google (Gemini), Anthropic, and ElevenLabs. The quality, availability, and behavior of AI Services may be affected by changes made by these providers. The Company does not control the underlying AI models and cannot guarantee specific outputs or performance characteristics.

6.7. Service Dependency. The Platform depends on third-party AI providers for core functionality. If a third-party provider modifies its terms, pricing, availability, or service capabilities, the Company may need to modify, limit, or discontinue features of the Platform that rely on that provider. The Company will use reasonable efforts to mitigate the impact of such changes but shall not be liable for service disruptions, feature reductions, or quality changes resulting from third-party provider actions beyond the Company's control.

6.8. Acceptable Use of AI Agents. The User's use of AI agents through the Platform must comply with the acceptable use policies of the underlying AI providers, as communicated through the Platform from time to time. The Company reserves the right to suspend or terminate access if a User's activity violates upstream provider policies, as such violations may jeopardize the Company's ability to provide the service to all Users.

The User may request a DPA by contacting the Company.

Where required by applicable law, the Company will implement appropriate data transfer mechanisms (such as Standard Contractual Clauses) to ensure adequate protection of transferred data.

7.8. Data Retention. The Company retains User Content and Account data for as long as the User's Account is active. The Company will use commercially reasonable efforts to maintain the availability of the Platform and Software Products but does not guarantee uninterrupted or error-free operation. The Platform may be unavailable due to scheduled maintenance, updates, or circumstances beyond the Company's reasonable control.

8.2. Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND SOFTWARE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
